  • Duplicates aren’t permitted: If a participant submits multiple separate sample requests for the same foodservice customer, they will be considered duplicate entries and count as only one entry for the e-gift card raffles.
  • Eligibility: Must be a Sales Representative for a Distributor located in one of the 48 contiguous United States, Hawaii or the District of Columbia currently selling The Perfect Purée, a resident of the United States and at least twenty-one (21) years old at the time of entry.

Prize Drawings

  • Weekly Raffle:
    • Weekly raffles will be held on 4/7, 4/14, 4/21 and 4/28.
    • One winner for each weekly raffle will be randomly drawn from the pool of qualified sample requests submitted during the entire promotion period.

DISTRIBUTOR PROMOTION OFFICIAL RULES

The Perfect Purée of Napa Valley (“The Perfect Purée”) is offering sales representatives at current distributors of its products (“Current Distributors”) the opportunity to win prizes by participating in its April Showers of Cash Distributor Promotion (the “Promotion”) on the terms and subject to the conditions described in more detail below.  Four (4) $200 e-gift cards total are available to win for participating sales representatives of Current Distributors during the Promotion Period, as discussed in more detail below.

These Distributor Promotion Official Rules (these “Rules”) set forth and govern timing, eligibility, and participation in the Promotion and otherwise define the rules applicable to this Promotion.

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER THIS PROMOTION OR WIN ONE OF THE PRIZES OFFERED.  A PURCHASE DOES NOT IMPROVE YOUR CHANCE OF WINNING. THIS PROMOTION IS VOID WHERE PROHIBITED.

ELIGIBILITY

To be eligible for the Promotion, you must be (1) a sales representative for a distributor of The Perfect Purée’s products, (2) located in one of the 48 contiguous states or Hawaii, (3) a resident of the United States or the District of Columbia, and (4) at least twenty-one (21) years old at the time of entry.  Employees, officers, directors, agents, and representatives of The Perfect Purée and any of their agents, immediate family (spouse, mother, father, sister, brother, daughter, son, grandson or granddaughter, regardless of where they live), or other members of their household (whether related or not) of each such individuals are not eligible to participate in the Promotion.  This Promotion is void where prohibited.

PROMOTION PERIOD

The Promotion begins on Tuesday, April 4, 2023 and ends on Friday, April 28, 2023 at 12:00 PM PST (the “Promotion Period”).

For purposes of determining the beginning and end of each Promotion Period, The Perfect Purée’s computer will be the official time-keeping device for the Promotion.

HOW TO PARTICIPATE

During the Promotion Period, participating sales representatives (each a “Participant”) will request complimentary samples of The Perfect Purée products for his or her foodservice customers by accurately completing and submitting a sample request form using the instructions and URLs accompanying these Rules.

Required information for qualifying sample requests includes:  Participant name, distributor information, telephone number, and e-mail address, Sample recipient’s name, company, title, phone, e-mail address, business mailing address, and up to 12 sample flavors.

Sample requests must comply with the Direct Sample Policy set forth below to qualify.  Participants will be asked to acknowledge and agree to these Rules when submitting sample requests.

ENTRY PROCESS & PRIZES

Sales representatives from Current Distributors, who choose to participate in the Promotion, will compete against each other to win one or more of the four (4) $200 e-gift cards prizes offered during the Promotion Period. Each qualified sample request submitted by a Participant during the Promotion Period will count as one (1) entry into the Promotion. To receive more entries for the prize raffles, Distributor Sales Representatives are encouraged to submit sample requests for multiple foodservice customers. All entries become property of The Perfect Purée of Napa Valley.

Weekly raffle drawings for (1) $200 American Express e-gift cards will be held on each of the following days: 4/7, 4/14, 4/21 and 4/28. For each weekly raffle, (1) winner will be chosen by random drawing from the pool of qualified entries submitted during the entire promotion period. The weekly raffle winners will be awarded (1) $200 American Express e-gift card each delivered by e-mail. Following each drawing, e-gift card winners will be informed via e-mail and will need to respond with their preferred e-mail address for the e-gift card within two (2) business days in order to secure their prize. Entrants are eligible to win multiple e-gift cards.

RESTRICTIONS & RELATED CONDITIONS

The Perfect Purée reserves the right to end the Promotion at any time due to lack of participation. A minimum of ten (10) qualified entries must be submitted per week for the promotion to continue. Qualified entries submitted by participants collectively will count towards this minimum.

If the Promotion is ended early, no further prizes will be awarded and accumulated entries will not be redeemable for any prize.

Once the Promotion Period ends, no additional prizes will be awarded for the Promotion period and entries accumulated during that Promotion Period will not be redeemable for any prize.  Sample requests that do not follow the Direct Sample Policy set forth below will not qualify for the Promotion and will not earn that Participant an entry into the Promotion.

In the event that the operation, security, or administration of the Promotion is impaired in any way for any reason, The Perfect Purée may, in its sole discretion, suspend, modify, or cancel the Promotion.

The Perfect Purée reserves the right in its sole discretion to disqualify any person it finds to have tampered with the sample request process or to have otherwise violated any of these Rules.

DIRECT SAMPLE POLICY

Samples are for foodservice professionals (for example: chefs, bartenders, bakers, or brewers) and manufacturing customers only.  All fields of the sample form must be completed accurately by the Participant for a sample request count and earn that Participant an entry into the e-gift card raffle.  Participants may select up to (12) samples in any one sample request for their foodservice or manufacturing customers; provided, however, that each qualifying sample request will only earn that Participant one (1) entry into the e-gift card raffle, regardless of the number of samples requested in such request.

Participants may submit as many sample requests for separate foodservice professionals as they may choose to.  However, if a Participant submits multiple separate sample requests for the same foodservice customer, they will be considered duplicate entries and he or she will only earn one (1) entry for the e-gift card raffles.

A maximum of two (2) samples of the same flavor may be requested for foodservice professionals.  A maximum of four (6) samples of the same flavor may be requested for manufacturers and breweries.

Samples must be shipped directly to the foodservice professional’s or manufacturing customer’s business address in the 48 contiguous United States, Hawaii, or the District of Columbia.  Samples cannot be shipped to Alaska, residential addresses, P.O. Boxes, or outside of the U.S.  After a sample request has been reviewed, the Participant and his or her customer will be notified of the sample’s shipment along with tracking details.

Samples ship Monday and Tuesday, via FedEx 2-day shipping.  Sample fulfillment rate depends on volume of entries received and shipping may be delayed if significant sample volumes are received in any one week.

The Perfect Purée reserves the right to deny samples to any business, in its sole discretion.

PARTICIPANT CONTACT

By participating in the Promotion and submitting a sample request, each Participant agrees that The Perfect Purée and its parent, subsidiaries, and affiliates may contact him or her by phone, mail, e-mail and/or social media for promotional purposes.  If a Participant wishes to be removed from such mailings, please contact The Perfect Purée at the telephone number or e-mail address listed below.

The Perfect Purée reserves the right to disqualify any Participant who does not meet the eligibility requirements and to re-award any prize such disqualified Participant may have won to another eligible participant.

Odds of winning depend on the total number of qualified sample requests submitted by all Participants in the Promotion Period.

GENERAL RELEASE

Except as prohibited by law, by participating in the Promotion, Participant agrees to release, discharge, and hold harmless The Perfect Purée, the parent, subsidiaries and affiliates of The Perfect Purée, any advertising or promotion company involved in the Promotion, and each of their respective directors, officers, employees, managers, members, and agents, from and against any claim or cause of action arising out of participation in the Promotion or the receipt or use of any prize, including, but not limited to: (a) unauthorized human intervention in the Promotion; (b) late, lost, misdirected, delayed, inaccurate, illegible, garbled, stolen, or incomplete entries, or entries not received for any reason, or for electronic transmission errors resulting in omission, interruption, deletion, defect delay in operations, or transmission, theft or destruction or unauthorized access to or alterations of entry materials; (c) technical, network, telephonic, electronic, hardware, or software errors or malfunctions of any kind; (d) inaccurate transmissions of or failure to receive entry information by The Perfect Purée on account of technical problems or traffic congestion on the Internet or at any web site or any combination thereof; (e) any other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Promotion; or (f) any loss, injury, or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from participation in the Promotion or the receipt or use of the prize. You waive the right to claim any damages whatsoever, including but not limited to punitive, consequential, direct, or indirect damages.

CIVIL CODE SECTION 1542 WAIVER

Each participant expressly waives all of his or her rights under California Civil Code Section 1542, which provides:
“A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER, MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR.”

For purposes of the Promotion and by participating therein, each Participant waives and relinquishes any rights or benefits which he or she has or may have under California Civil Code section 1542 and any other similar statute or legal principle.  By participating in the Promotion, each Participant evidences his or her agreement that this is a knowing waiver of rights and benefits, separately bargained for, and further consideration for the release of the claims specified in these Rules.  Furthermore, each Participant acknowledges that he or she agrees to the foregoing voluntarily and with full knowledge of its significance.

GOVERNING LAW; LIMITATION OF LIABILITY

All matters arising out of or relating to these Rules and the Promotion are governed by and construed in accordance with the laws of the State of California without giving effect to its choice of law rules and, by participating in the Promotion, each Participant irrevocably submits him or herself to and consents to the exclusive jurisdiction of the California state and/or federal courts located therein.

EXCEPT WHERE PROHIBITED, BY PARTICIPATING, EACH PARTICIPANT AGREES THAT: (A) ANY AND ALL DISPUTES, CLAIMS, AND CAUSES OF ACTION ARISING OUT OF OR IN CONNECTION WITH THE PROMOTION, OR ANY PRIZES AWARDED, SHALL BE RESOLVED INDIVIDUALLY WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (B) ANY CLAIMS, JUDGMENTS, AND AWARDS SHALL BE LIMITED TO ACTUAL OUT-OF-POCKET COSTS INCURRED, INCLUDING COSTS ASSOCIATED WITH ENTERING THE PROMOTION, AND EACH PARTY TO ANY SUCH DISPUTE SHALL BEAR HIS, HER, OR ITS OWN ATTORNEY FEES; AND (C) UNDER NO CIRCUMSTANCES WILL The Perfect Purée be liable for PUNITIVE, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.

PRIVACY

Any information participants submit to the Promotion Page is subject to The Perfect Purée’s privacy policy posted at https://www.perfectpuree.com/privacy-policy/

NO WAIVER; NO ASSIGNMENT

No waiver by The Perfect Purée is effective unless set forth in writing and signed by an authorized representative of The Perfect Purée and no failure to exercise or delay in exercising any right, remedy, power, or privilege under these operates, or may be construed as, a waiver thereof; and no single or partial exercise of a right, remedy, power, or privilege precludes any other or further exercise thereof, or the exercise of any other right, remedy, power, or privilege.  Failure to enforce any term or condition contained in these Rules shall not constitute a waiver of that or any other provision.

No Participant may assign any of its rights or obligations under this Agreement without The Perfect Purée’s prior written consent and any purported assignment without such consent is null and void and will not relieve Participant of its obligations under these Rules.

SEVERABILITY

If any provision(s) of these Official Rules are held to be invalid or unenforceable, all remaining provisions hereof will remain in full force and effect.

IDENTIFICATION OF PROMOTION WINNERS

If a participant would like to receive a list of promotion winners by postage mail, he or she may send a self-addressed, stamped envelope to The Perfect Purée of Napa Valley, LLC, 2700 Napa Valley Corporate Dr., Suite L, Napa, CA 94558.

By participating in the Promotion, prize winners agree to The Perfect Purée announcing their name publicly as a prize winner and providing a headshot or photo of themselves to display on the Promotion page.
